Terms & Conditions of Service

SUBSCRIPTION

  1. Upon acceptance of this agreement by Vaxxine, this agreement shall constitute a subscription by the Customer for the Service.
  2. The Customer warrants and agrees that it is and will be the end user of the Service.

RULES AND REGULATIONS

The Customer agrees to abide by all rules and regulations governing the use of the Service that may be issued or adopted by Vaxxine from time to time and furnished to the Customer relating to the provision of the Service. RATES AND CHARGES

  1. The Customer agrees to pay Vaxxine for the use of the Service at the time and in the amount specified. Usage information provided by Vaxxine, if disputed, must be verified within sixty (60) days, otherwise it will be deemed fully correct.
  2. The Customer agrees to pay Vaxxine for any toll charges incurred in using the Service to make long distance calls.
  3. All purchased internet packages and setup fees are non-refundable unless the Service can not be delivered.
  4. Unused connection time during any monthly period cannot be transferred to any other months.
  5. Termination of annual Service will result in a refund reduced by computing the regular monthly rate for months in effect and a handling charge.

CHANGES IN RATES AND OTHER TERMS

Vaxxine reserves the right to, upon notice to the Customer via e-mail, change or modify any of its rates, charges or other fees and any other terms and conditions applicable in connection with the Service. Such changed or modified terms and conditions shall be deemed to be contained herein.

LIMITATION OF LIABILITY

  1. Vaxxine does not warrant:
    1. Uninterrupted working of the Service or other communications transmissions services, equipment or software provided, rented or sold by Vaxxine or its employees or of transmission services or equipment of any other communications or telephone company, carrier or system whose services or equipment are utilized by Vaxxine.
    2. The privacy of any communications relying in whole or in part on the Service or other communications transmission service or equipment provided, rented or sold by Vaxxine or its employees, or on the transmission services or equipment of any other telecommunications or telephone company, carrier or system whose services or equipment are utilized by Vaxxine; and no such warranty or condition, whether express or implied by statute or otherwise, shall form a term or condition upon and under which Vaxxine, or its employees offer such transmission service or equipment to any customer, user or any other person
  2. Vaxxine directors, officers, and employees shall not be liable to any customer, user or any person for any damages or loss whatsoever (including without limitation, direct, indirect, special incidental or consequential damages or damages for damage to or loss of property, loss of earnings, loss of profits, loss of business opportunities, loss of financial support, loss of family, personal injury, mental suffering or loss of life), howsoever arising or resulting out of the provision or the use of or in connection with the Service or telecommunications transmission service or out of the use or installation of equipment or software provided, rented, sold, or installed by Vaxxine or its employees, including, without limitation from: defects, malfunctions or complete breakdowns in transmission equipment or facilities; electrical shocks, burns, fires or explosions caused by malfunction transmission equipment or facilities; mistakes, omissions, interruptions, delays, errors, defects or complete breakdown in transmission; incorrect installation or operation of transmission equipment or facilities; or from negligent, tortuous or delictual conduct of Vaxxine or its employees or any other act or omission which might give rise to a civil cause of action.

RENEWAL AND TERMINATION OF SERVICE

  1. This agreement shall automatically renew for successive monthly terms on the expiry of the initial and each successive monthly term, unless the Customer or Vaxxine gives the other notice in writing of termination as hereinafter provided.
  2. If the Customer shall fail to pay for the use of the Service or fail to pay any other amount owed to Vaxxine at the times and the amounts specified, Vaxxine may terminate the Service (or any portion thereof) to the Customer without notice to the Customer.
  3. This agreement may be terminated by either party upon written notice. Cancellation of service requests must be communicated to Vaxxine in advance of the desired cancellation date and must specifically identify the services or features to be cancelled. Failure to do so may result in delays in processing of the cancellation.
  4. Notwithstanding the termination hereof, the Customer agrees to pay all charges owing to Vaxxine at the date of termination in accordance with this agreement. Should an account be in arrears necessitating the involvement of a third party agency for collection of funds owed to Vaxxine, the Customer agrees to pay a late fee for account handling.
  5. Requests for refunds will be considered on a case by case basis. For cancelled accounts the reason for the request will be factored in along with the date of the cancelation. Monthly accounts are not eligible for a refund after the 10th of the month. Monthly accounts cancelled before the 10th of the month are eligible for a prorated refund but are subject to an administrative handling charge.

COMPLETE AGREEMENT

The Customer acknowledges that there are no other terms and conditions of this agreement except as are expressly contained or deemed to be contained herein or expressly incorporated herein by reference.

GOVERNING LAW

The agreement shall be governed by and construed in accordance with the laws applicable in the province of Ontario.

EQUIPMENT

The Customer acknowledges and agrees that the only warranty applicable to any equipment purchased pursuant to this agreement is that written limited warranty supplied by the manufacturer or as specified between the Customer and a specified insurance carrier via separate agreement. There is no warranty or condition, whether express or implied by statute or otherwise, provided by Vaxxine to the Customer with respect to any equipment purchased pursuant to this agreement.

MISCELLANEOUS

Except as provided herein, this agreement may not be amended except in writing and shall be binding upon parties hereto, their permitted successors and assigns. The Customer acknowledges and agrees that clerical errors shall not affect the validity of this agreement and Vaxxine shall be entitled to unilaterally correct the same. The customer acknowledges and accepts the risks associated with any online activity. This includes, but is not limited to, the risks of malware, viruses, data loss, data theft – including personal and private information, connection failure or network outages.

THE CUSTOMER ACKNOWLEDGES AND SOLELY ACCEPTS THE RISKS ASSOCIATED WITH ANY ONLINE ACTIVITY. THIS INCLUDES, BUT IS NOT LIMITED TO, THE RISKS OF MALWARE, VIRUSES, DATA LOSS, DATA THEFT - INCLUDING PERSONAL AND PRIVATE INFORMATION, CONNECTION FAILURE OR NETWORK OUTAGES


Invoicing & Payment Terms and Conditions

INVOICES

Invoices are generated and e-mailed to customers on the first of each month. Cancellations must be received via e-mail to billing@vaxxine.com or sales@vaxxine.com by 5pm of the last day of the preceding month.


PAYMENTS

We require an automated method of payment when an account is setup. This may be automatic debit or automatic use of a credit card. The automated payments are processed on the 6th day of the month. We do however encourage the use of online banking to make payments but such a method must be used to ensure funds are received before the 6th of the month. In addition you can login to our Customer Portal and make a payment using a credit card that will ensure no automatic payment is used. In any case if there is a reason you suspect your automatic payment will not go through you must contact us to avoid payment rejection fees and service disruptions. The key is communication.


REJECTED DEBIT PAYMENTS

When an automated debit payment is rejected by the bank, typically for NSF, we are charged fees by the bank, separate from any bank fees you may receive. We abhor additional fees of any sort as we are certain you do as well. We cannot absorb the fees the bank charges us in these situations so we pass them on to the customer – clearly double jeopardy for the customer. In addition our system disables the account so your Internet service is disrupted. There is a way to avoid this and that is to communicate with us BEFORE the payment is processed. The automated debit payment can be temporarily disabled by requesting to OPT OUT. To opt out you must communicate with us before the 6th of the month and identify when the account will be paid. There is a $10 fee for this option, but this is far less than the various bank fees. In addition, your internet service will stay active. As noted above the key is communication. It is also important to contact us immediately if your service is disabled. Attempts are made to contact you by email and by telephone to determine when the account will be paid. If we do not hear from you after 2 or 3 days we have no other recourse but to disconnect the service entirely. At this point to reactivate the service will involve reconnection fee that we are charged. In addition it takes several days to have a service reactivated.


REJECTED CREDIT CARD PAYMENTS

When an automated credit card payment is rejected by the credit card company there are fortunately no bank fees however repeated automatic credit card payment failures will incur a late payment charge. Attempts are made to contact you by email and telephone to determine when the account will be paid. If we do not hear from you after 2 or 3 days we have no other recourse but to disable your Internet service. After 2 more days with no communication the service will be disconnected. At this point to reactivate the service there would be reconnection fees. Communication is the key to avoid surprises.


IMPORTANT

It is very important that we have a current phone number and e-mail address on file. If we cannot get in touch with you and receive no response to email we send out this will usually result in service disruptions and possibly disconnections. So please let us know what is transpiring.


Technical Support

Vaxxine technical support is available for our internet, voip and hosting services. If your internet or voip connection is not stable, or you are having troubles connecting at all, please submit a ticket through our Client Login or see our General FAQ and Support Page for some quick guidance.

Vaxxine does not give support of any kind for helping with the development of a website, web pages or any other web oriented service on our servers. If you wish to retain Vaxxine for Web Development, please contact our Sales Office by telephone or by e-mail. Loss of Data

Vaxxine maintains weekly full backups and nightly incremental back ups of all sites located on our servers that currently maintain a hosting service with us. These back ups are a security measure in case of a catastrophic failure of some type, and are not generally accessible to the public.

It is the site owners responsibility to maintain their own copies of their website, and it is highly recommended that you do. If you do not and require us to restore your site, there will be fees incurred for the service. Vaxxine is not responsible for loss of date by any means while using Vaxxine services.

Vaxxine is free to modify the terms of this policy as well as other policies considering use of its Internet service without prior notice.


Privacy Statement

Vaxxine.com respects the privacy of its users and is committed to protecting your personal information. Any information you provide to us is kept in strict confidence and will not be used in ways to which you have not consented.

The information you provide when filling out any form on Vaxxine.com may be used internally to improve our marketing and promotional efforts, statistically analyze site usage, improve our content and product offerings, and customize our site's content and layout. We believe that these uses allow us to improve our site and better tailor it to meet our users' needs.

We also use this personal data to deliver both customized information, such as targeted banners and promotions, and general information, such as newly launched features, to you.

We do not and will not sell, rent, loan, or trade your name, e-mail address, or any other personally identifiable information to others. While we may share non-personal, aggregate statistics about our customers, sales, traffic patterns, and related site information with advertisers and reputable third-party vendors for marketing and promotional purposes, none of the information we disclose can be used to personally identify you. Certain information - such as your password and credit card number - is not disclosed in aggregate form at all.
